1. Agreement to Terms

By accessing or using PlugToCart ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

PlugToCart is an AI-powered WhatsApp commerce automation platform designed for small and medium-sized businesses. Our Service enables you to:

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By creating an account, you represent that you meet these requirements.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 WhatsApp Business Account

To use our Service, you must connect a valid WhatsApp Business account. You represent that:

• You own or have authorization to use the WhatsApp Business account
• The account is not connected to any other automation platform
• You comply with WhatsApp's Business Policy and Terms of Service

4. Subscription and Billing

4.1 Free Trial

We offer a 7-day free trial for new users. No credit card is required to start your trial. After the trial period, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

By subscribing to a paid plan, you agree to pay the subscription fees as stated on our pricing page. Subscription fees are:

• Billed in advance on a monthly or annual basis
• Non-refundable except as required by law
• Subject to change with 30 days' notice

4.3 Payment Processing

Payments are processed through third-party payment providers (Stripe, Paystack). You agree to provide valid payment information and authorize us to charge your payment method for all fees incurred.

4.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time from your account settings.

4.5 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of your subscription, except as required by law.

5. Acceptable Use

You agree not to:

• Violate any laws, regulations, or third-party rights
• Send spam, unsolicited messages, or engage in fraudulent activities
• Use the Service to harass, abuse, or harm others
• Attempt to gain unauthorized access to our systems

We reserve the right to suspend or terminate your account for any violation of these acceptable use terms.

8. Third-Party Services

Our Service integrates with third-party services including:

• WhatsApp Business API (Meta/Facebook)
• Payment processors (Stripe, Paystack)
• Other third-party integrations

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, content, or practices of third-party services.

You must comply with WhatsApp's Business Policy, Commerce Policy, and Terms of Service when using our platform.

9. Platform Role and Business Operations

9.1 PlugToCart as a Tool

PlugToCart is a software tool that facilitates automated sales, customer interaction, and order management through WhatsApp on behalf of businesses. We are not a party to any transaction between you and your customers. PlugToCart does not sell, supply, manufacture, or deliver any products or services offered by businesses using our platform.

9.2 Business Responsibility

You are solely responsible for all aspects of your business operations conducted through the platform, including but not limited to:

• The quality, legality, safety, and accuracy of the products or services you sell
• Accurate product descriptions, pricing, and availability
• Order fulfillment, delivery, and shipping
• Refunds, returns, exchanges, and customer disputes
• Customer service and communication
• Compliance with applicable consumer protection, tax, trade, and industry-specific laws and regulations in your jurisdiction
• Obtaining necessary business licenses, permits, and certifications

9.3 AI-Generated Responses

Our platform uses artificial intelligence to automate customer interactions on your behalf. While we strive for accuracy, AI-generated responses may occasionally contain errors, inaccuracies, or unexpected outputs. You acknowledge and agree that:

• You are responsible for reviewing and monitoring AI-generated responses sent to your customers
• PlugToCart is not liable for any errors, commitments, or representations made by the AI on your behalf
• Any promises, discounts, or commitments communicated by the AI are binding on you, not on PlugToCart
• You should regularly review conversation logs and update your product catalog and business settings to ensure accurate AI outputs

9.4 No Liability for Business Operations

PlugToCart shall not be liable for any claims, disputes, damages, or losses arising from your business operations, including disputes between you and your customers, product liability claims, payment disputes, delivery failures, or any other commercial matter. Any legal claims from your customers shall be directed to you and not to PlugToCart.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10.2 Limitation of Liability

To the maximum extent permitted by law, PlugToCart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, or business opportunities
• Loss of data or customer information
• Service interruptions or downtime
• Unauthorized access to your account
• Actions taken or not taken based on AI-generated responses
• Customer disputes or business losses arising from use of the platform

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless PlugToCart and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use of the Service
• Your business practices, products, services, or customer interactions
• Any claims made by your customers or third parties related to your business operations
• Your failure to comply with applicable laws, regulations, or third-party terms
• Any content, data, or information you submit through the Service

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activities
• Non-payment of fees
• At our sole discretion

Upon termination, your right to use the Service will immediately cease. You may export your data before termination. We are not obligated to retain your data after account termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation if negotiations fail
3. Binding arbitration if mediation is unsuccessful

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
